The name of this organization shall be Seton Northwest Volunteers.
The purposes of this organization are:
A. To provide volunteer services which reflect a commitment and dedication to the philosophy of the Daughters of Charity Health Services of Austin (DCHSA).
B. To create goodwill in the community for the Daughters of Charity Health Services of Austin.
C. To operate exclusively for the benefit of the Daughters of Charity Health Services of Austin, with a special emphasis on Seton Northwest through definite and assigned functions.
D. In the furtherance of such objectives, all activities of the Seton Northwest Volunteers shall be consistent with the Bylaws and Policies of the Daughters of Charity Health Services of Austin.
A. Consistent with the Daughters of Charity health care mission, this organization will not discriminate against potential members based on age, citizenship, color, marital status, physical handicap, national origin or ancestry race, religion, or sex.

A. There shall be a minimum of five meetings of the membership annually with time and place set by the President, with concurrence of the DCHSA staff liaison, and with proper notification sent to the members.
B. Quorums
To conduct legal meetings of the Membership, Volunteers Board, Executive, Standing or Ad-Hoc Committee, a quorum must be in attendance.
The Number constituting a quorum is:
1. Membership General Meetings:
Fifteen (15) Active Members of Seton Northwest Volunteers
shall constitute a quorum.
2. Seton Northwest Volunteers Board:
Nine (9) Members of the Seton Northwest Volunteers Board
shall constitute a quorum; the presence of two-thirds of the members of the Volunteers Board, two of whom must be officers.
3. Executive Committee:
Four (4) Members of the Seton Northwest Board's Executive Committee
shall constitute a quorum.
4. Committees (Standing and Ad-Hoc):
Quorums for Sanding and Ad-Hoc Committees
shall consist of fifty percent (50%) of the Committee Membership.
A. The Board shall consist of: all elected officers; qualified standing Committee Chairpersons; the immediate Past-President; the Administrator of Seton Northwest Hospital; and the DCHSA staff liaison for this organization.
B. Except as otherwise provided in these Bylaws, Board action requires a majority vote of the Board members present and voting.
A. The Executive Committee shall consist of: all elected officers; the Administrator of Seton Northwest Hospital; and the DCHSA staff liaison for this organization.
B. The Executive Committee shall be empowered to act for the Volunteers Board when necessary between regular meetings.
A. Ad Hoc Committees shall be appointed as needed by the President and shall act only for the term of that special project.
B. The President shall appoint all Standing and Ad Hoc Committee Chairpersons with the exception of those designated otherwise in these Bylaws or in the Standing Rules. All Chairpersons shall report on their activities at such time as designated by the President.
The process of nominating elected officers shall be followed as designated in the Standing Rues of these Bylaws.
This organization shall be governed by its Bylaws and Standing Rules. In the event of controversy regarding procedure, Robert's Rules of Order, Revised, in its latest editions, shall prevail.
A. The method of voting shall be by written ballot, by show of hands, by roll call, or by mail.
B. There shall be no proxy voting.
The fiscal year of this organization shall commence on July 1 and end on June 30.
A. Amendments to these Bylaws require a two-thirds affirmative vote of eligible members (active members) in attendance at a General Meeting. Proposed amendments must have been mailed to all active members at least thirty days prior to the voting. Amendments also must be approved by the Daughters of Charity Health Services of Austin Board of Trustees before becoming effective.
B. Amendments to the Seton Northwest Volunteers Standing Rules require an affirmative vote of two-thirds of the Volunteers Board at a Volunteers Board meeting and approval by the Administrator of Seton Northwest Hospital.
In the event of dissolution of this organization, all assets remaining after payment of outstanding debts shall be made payable to the Daughters of Charity Health Services of Austin, a tax exempt corporation under Section 501(c)(3) of the Internal Revenue Code.
These Bylaws shall become effective after they are approved by the Daughters of Charity Health Services of Austin Board of Trustees.
